Terms of Service

1. General Terms

These Terms of Service ("Terms") govern your use of the E-SEC hardware wallet ("Device") and related services ("Services") provided by E-SEC GmbH ("Company", "we", "us", or "our").

By purchasing or using our Device and Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Device or Services.

Our company is registered with BaFin (Federal Financial Supervisory Authority, Germany) under ID 10160460 and BAKNR: 160460 as Kryptowertpapierregisterführer.

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to:

• Use the Device for personal cryptocurrency storage
• Use the accompanying software for its intended purpose
• Access our Services in accordance with these Terms

This license does not permit you to:

• Modify, reverse engineer, or create derivative works of the Device or software
• Use the Device for any illegal or unauthorized purpose
• Resell or commercially exploit the Device without our express permission

3. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Be responsible for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for any fraudulent or illegal activity.

4. Device Ownership

Upon full payment, you own the physical Device. However, all intellectual property rights in the Device, its design, and accompanying software remain our property.

The Device contains proprietary technology protected by copyright, patent, and other intellectual property laws. You may not:

• Copy, modify, or distribute the Device's firmware or software
• Attempt to extract source code from the Device
• Bypass any security measures implemented in the Device

5. Acceptable Use

You agree not to use the Device or Services:

• For any unlawful purpose or in violation of any laws
• To store or transact in cryptocurrencies obtained illegally
• To facilitate money laundering or terrorist financing
• In any way that could damage, disable, overburden, or impair our Services
• To attempt to gain unauthorized access to any systems or networks

We reserve the right to investigate and take appropriate legal action against anyone who violates these Terms, including terminating your access to our Services.

6. Fees and Payments

You agree to pay all fees associated with your purchase of the Device and any optional Services. All fees are in EUR and are non-refundable except as required by law.

We may change our fees at any time by posting new prices on our website. Price changes will not affect orders already placed.

You are responsible for all taxes, duties, and customs fees associated with your order.

7. Shipping and Delivery

We will make reasonable efforts to ship Devices within the timeframe specified at checkout. However, delivery times are estimates only and not guaranteed.

Risk of loss passes to you upon delivery to the carrier. You are responsible for filing any claims with carriers for damaged or lost shipments.

International shipments may be subject to customs delays and additional fees for which we are not responsible.

8. Warranty and Disclaimers

We warrant that the Device will be free from material defects in materials and workmanship for one (1) year from the date of purchase ("Warranty Period").

This limited warranty does not cover:

• Damage caused by misuse, abuse, or neglect
• Unauthorized modifications or repairs
• Normal wear and tear
• Software issues not caused by defects in the Device

EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, DATA, OR CRYPTOCURRENCY
• UNAUTHORIZED ACCESS TO OR USE OF YOUR DEVICE
• ANY AMOUNT EXCEEDING THE PURCHASE PRICE OF THE DEVICE

These limitations apply even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

10. Security Responsibilities

You acknowledge and agree that:

• You are solely responsible for securing your recovery phrase and PIN
• We cannot recover lost or stolen cryptocurrencies
• You must keep your Device firmware updated
• You should only use official software from our website
• You are responsible for verifying transaction details before confirming

11. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. The provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of our Services after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the courts of Düsseldorf, Germany.

14. Regulatory Compliance

As a regulated financial service provider, we comply with:

• German Banking Act (KWG)
• EU 5th Anti-Money Laundering Directive (5AMLD)
• Other applicable financial regulations

You agree to cooperate with our compliance procedures, including providing identification documents when required by law.
